Terms and Conditions
Dear Dealer
Please read the following Agreement and fill in your
details in the area below to indicate your compliance.
By accessing the web site and the information contained within, your organisation
(“you”) agree to these terms and
conditions, as modified or amended from time to time and each time you access
the Database, Software or the Site,
you reconfirm your agreement. If you do not agree to these terms and conditions,
you may elect not to access the Site.
This Agreement is effective from the day you initially use the Site until
such time as you cease to be an authorised
account holder of Armour Auto.
1. Definitions. For purposes of this Agreement, the following definitions
shall apply:
(i) Site or web site
The site or web site means all information, content, concepts, structures,
functionality, computer code, published
materials, electronic documents, graphic files and other technology inherent
in Armour Auto world wide
web site located at www.armourauto.com.
(ii) Databases.
The Database includes all information accessible from Armour Auto through
the site, which may include, but is not
limited to, data structures, technical and other specifications, pricing,
advice, and other data and information. All
data and other information available on the site is proprietary, confidential
and the sole property of Armour Auto or
third parties licensing such information for Armour Auto.
2. Security.
You must enter a valid user ID and password (“access codes”)
to access the web site’s secure areas. It is your sole
responsibility to monitor use of these access codes for all purposes. You
accept all responsibility for the security of
your user ID and password, and utilisation of the web site via the access
codes. This includes unauthorised access by
your employees or third parties, except for access by third parties resulting
from Armour Autos sole negligence. You
have the ability to modify your password at any time by using either the
built in form for doing so or by sending and email to webmaster@armourauto.com
with your details and your new password.
Armour Auto recommends you modify your password regularly. You must
notify Armour Auto
immediately if you wish to terminate your master user ID and password or
to have these access codes reissued. Do
not disclose your access codes to anyone who is not authorised to act on
your behalf.
3. Termination and Modification.
Armour auto may elect to update, modify, change or terminate all or
any part of the functionality available
through the site. Armour auto may modify this Agreement from time to
time. Any amendments or
modifications will be provided to you through on-line notice. Receipt of
the notification, of modifications or
amendments to the Agreement constitutes acceptance of all such modifications
or amendments. You agree on
termination of this Agreement immediately to cease accessing the informational
databases and to return any
software provided. The software, informational databases, and the site’s
secure areas are confidential information of
Armour auto or companies licensing Armour auto and contain copyrighted
information.
4. License.
The information within the site is not sold but licensed to you for your
internal use in your ordinary course of
business for your review, selection, support and purchasing of products sold
by Armour auto This license is
for the period beginning with your acceptance of this Agreement until termination
by you or for failure to maintain
authorised account holder status; is non-transferable and non-exclusive;
and is for use only by your employees
engaged in your business, and only in accordance with this Agreement and
any documentation provided to you or
available on-line from time to time. You may NOT, except as otherwise provided
in the documentation or on-line (a)
copy any of the Site; (b) distribute, rent, sublicense or otherwise transfer
or disclose, or transmit the Site,
electronically to any person or entity; (c) modify, translate, merge, or
prepare derivative works of the Site; or (d) use
any of the Site, for service bureau or other not specified in this Agreement
or the documentation. You may not
decompile, disassemble, probe, or otherwise reverse engineer the Site.
5. Your Obligations.
You agree that you shall not use site to do any of the following:
(i) restrict or inhibit any other user from using the Site.
(ii) disclose your login identification and/or passwords.
(iii) transmit content/downloaded material externally to your business.
(iv) users are required to login to the secure dealer area at least once
every six months to maintain access.
6. Access to Password Protected/Secure Areas
Access to and use of password protected and/or secure areas of the web site
is restricted to authorised users only.
Unauthorised individuals attempting to access these areas of the web site
may be subject to prosecution.
7. Images
The name Armour auto, its related brand names (Autoleads, CTi, Clifford, Hornet,
iO,Kicker, Mutant, Orion, Radiomobile, Veba & Viper) and their
associated logos and products may only be used in advertising or publicity
pertaining to distribution of this information
with specific, prior permission. Armour auto makes no representations
about the suitability of this information
for any purpose. It is provided “as is” without express or implied
warranty. Armour auto Ltd has made
reasonable endeavors to minimise inaccuracy and omission of the information/data
supplied, but gives no warranty
with regards to its contents. Armour auto Ltd, nor any person involved
in creating/providing the supplied
information shall not be liable for any direct, indirect or consequential
damages arising out of use of the
information/data supplied.
